Terms & Conditions
Last updated: September 2026
These terms govern the supply of managed guest Wi-Fi and related services to your business. They are business-to-business terms: by ordering, you confirm you are contracting in the course of a business and not as a consumer.
1. Who you are contracting with
Hotspot & Wifi Specialists (Pty) Ltd t/a Hotwireless ("we", "us", "our")
Company registration number 2016/437869/07, registered with the Companies and Intellectual Property Commission
Registered office: 22 Belair Drive, Constantia, Cape Town 7806, South Africa
Email: sales@hotwireless.co.uk
Hotwireless is a trading name of that company, which supplies venues in the United Kingdom. A UK company is planned; if the contracting entity changes we will tell you in writing before it does.
2. What we supply
We supply the package and any add-ons set out in your order or proposal: a branded guest Wi-Fi login page, guest access behind your terms of use, guest sign-up and guest insights where those tiers are taken, access rules that keep guests off the network your business runs on, a managed router, and remote configuration, monitoring and support. Anything not described in your order is not included.
We configure and test the router before it is dispatched. You plug it into a spare port on your broadband router and the login page comes up. There is no site survey and no installation charge.
3. What you supply
We run on your existing broadband: all we need is a spare network port, a power socket and a spot with good signal to guests. Broadband and line charges are not included.
You are responsible for the broadband line, its cost and its reliability, and for mains power at the venue. We will advise on what the line needs to carry for the number of guests you expect, but the contract with your internet provider is yours and we are not liable for its performance.
You are also responsible for displaying or linking your terms of use at the login, for telling your guests what you will do with their details, and for the lawfulness of any marketing you send them afterwards. See clause 8.
4. Fees, VAT and payment
The monthly subscription is charged per venue and invoiced monthly in advance in pounds sterling. Add-ons are invoiced with the subscription.
No UK VAT is charged on these prices. We are not registered for UK VAT, so the price you are quoted is the price you pay — there is nothing to add. This is not the same as VAT being included, and we do not issue a UK VAT invoice. If that position ever changes we will give you written notice before it takes effect.
Invoices are due within 14 days unless your order says otherwise. If an invoice is overdue we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend the service after giving you written notice and a reasonable chance to pay.
5. Term and cancellation
- 12-month term. The router is included and there is nothing to pay for hardware up front. The term runs for 12 months from the day the service goes live, then continues monthly until either of us gives one calendar month's written notice.
- Rolling monthly. You pay £149 once for the router and there is no minimum term. Either of us may end the subscription on one calendar month's written notice.
If you end a 12-month term early, the remaining subscription payments for that term fall due, because the hardware was supplied on the strength of it. You can avoid that by paying the £149 hardware price instead and moving to rolling monthly — tell us and we will work out whichever is lower for you.
Either of us may end the agreement immediately in writing if the other commits a material breach that is not put right within 30 days of being asked, or becomes insolvent.
Notice is given by email to sales@hotwireless.co.uk, or to the address we hold for you.
6. The router: delivery, title and risk
- Where the router is included with a 12-month term, it stays our property for as long as you are a customer and it is part of the managed service. When the agreement ends you return it to us in reasonable condition, or keep it by paying the £149 hardware price.
- Where you buy the router for £149 on rolling monthly, it becomes yours once we have been paid in full.
- Risk passes to you on delivery in both cases. Please insure it with the rest of your equipment.
Delivery and carriage. Your router is dispatched from within the United Kingdom, on a UK courier, and we arrange and pay the carriage to your venue. There is nothing for you to pay when it arrives — no delivery charge on top of the price you are quoted, and no customs charge, duty or import VAT, none of which arises on a UK domestic delivery. That covers delivery to a standard address in the United Kingdom during normal business hours; if you need a specific courier, a timed slot or an address we would not normally deliver to, we will quote that before we dispatch. Where a unit goes back to us at the end of the agreement, or a faulty unit is swapped under warranty, we arrange and pay for that carriage too.
Lead time. We confirm the delivery date when we accept your order, once the login page is agreed and the router has been configured and tested. We do not publish a standard lead time, because a date we could not hold would be worse to you than no date at all. If the date we confirm is going to slip, we will tell you as soon as we know rather than let it pass.
The router is configured to run our service. Please do not reconfigure, unlock or replace its software: if you do, we cannot support it and clause 9 will not cover what happens next. A faulty unit is replaced under the manufacturer's warranty at no cost to you; loss, theft and accidental damage are not, and a replacement is charged at the hardware price then current.
7. Acceptable use
You and your guests must use the service in line with our Acceptable Use Policy, which forms part of these terms. We may suspend a session, or the service, where use materially threatens the network, other users, or our ability to provide the service lawfully. We will tell you when we do and why.
8. Data protection
For personal data captured at your guest Wi-Fi login you are the controller and we are the processor, as those terms are used in the UK GDPR and the Data Protection Act 2018. We process that data only on your documented instructions, keep it confidential, protect it appropriately, and help you answer a data subject's request or a regulator's enquiry. Our Privacy & Cookies Notice sets out what is collected, how long it is kept and where it is processed, including transfers outside the UK.
Marketing to your guests is yours to get right. Under PECR, a Wi-Fi login is not marketing consent: consent must be a separate, affirmative, unticked opt-in, and you must be able to evidence it. Our Data Collection tier captures it that way and stores the evidence with the record. You remain responsible for what you then send.
9. Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, our total liability arising out of or in connection with the agreement in any 12-month period is limited to the charges you paid us for the service in that period. We are not liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or any indirect or consequential loss.
We are not liable for a failure of your broadband line, your power supply, or any equipment or service we did not supply.
10. Support, monitoring and service levels
Support is included with every package and runs Monday to Friday, 06:00–15:00 GMT (07:00–16:00 BST). We run automated checks on the link between our systems and the routers we manage and act on what those checks pick up during those hours. Those checks do not cover every part of the service and we do not undertake to spot every fault before you do — please report a problem rather than assume we have already seen it. Outside support hours we help on a best-efforts basis.
We do not offer a service level agreement. There is no guaranteed uptime percentage and there are no service credits. We would rather say that than publish a number we cannot stand behind. If you need a contractual service level, tell us and we will discuss it in writing and price it separately.
11. Confidentiality
Neither of us will disclose the other's confidential information, except to people who need it to perform the agreement or where the law requires it. This survives the end of the agreement.
12. Changes to these terms
We may update these terms. Where a change materially affects you we will give you at least 30 days' written notice, and if you do not accept it you may end the agreement on that notice without further charge. Continuing to use the service after the notice period means you accept the change.
13. General
You may not transfer the agreement without our written consent, which we will not withhold unreasonably. If a clause is found to be unenforceable, the rest stands. A delay in enforcing a right does not waive it. Nobody who is not a party to the agreement has any right to enforce it under the Contracts (Rights of Third Parties) Act 1999. The agreement, your order and the policies it refers to are the whole agreement between us.
14. Governing law and jurisdiction
These terms and any dispute arising out of them, whether contractual or not, are governed by the law of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
